ETHICS AND COMPLIANCE IN POLPHARMA

The Polpharma Ethics Program is a result of discussion about our goals, our motives, who we are and what we do. The premise of the Ethical Program is to maintain high standards in everyday work, both among colleagues from the company and external partners.

Polpharma has a Compliance System which purpose is to ensure compliance with applicable regulations and voluntarily accepted obligations and to promote an organizational culture based on ethical values ​​and standards.

THE CODE OF ETHICS

This document sets out the system of ethical values, norms and rules of conduct for each of us, regardless of the position held and the nature of the tasks performed.

The Polpharma’s Code of Ethics is a part of comprehensive Ethical Program implemented in the company to build a strong ethical culture in Polpharma. The provisions of the Code of Ethics are based on ethical values shared by employees, which include: respect, honesty, responsibility, cooperation and solidarity.

The Code of Ethics represents a kind of constitution of the rights and obligations of Polpharma employees. The Code helps us deal with difficult or ethically ambiguous situations at work. It supports us in making the right decisions regardless of the nature of the job and the position we occupy.

Polpharma has also implemented an important new document in Poland – the Anti-Corruption Code. It contains a set of rules and procedures designed to define standards of conduct for employees and associates of Polpharma in order to counteract corruption and its negative effects.

We talk to our colleagues and business partners about our ethical standards and values.

We believe in communication based on openness and transparency and in dialogue both within and beyond the organisation.

Detailed information about our Code of Ethics and our principles is available on our intranet and in company publications. We also communicate directly by inviting our colleagues to participate in meetings at individual companies in Poland and abroad, as well as by presenting Polpharma’s good practices and experiences at external forum.

ANTI-CORRUPTION CODE

The Polpharma Entities in Poland are bound by the Anti-Corruption Code.

Its fundamental purpose is, i.a. to determine ethical and legal rules of conduct in relations with:

  • persons performing public functions,
  • healthcare professionals,
  • business partners (contractors, counterparties).

All of our employees and associates are obliged to comply with the principles of the Anti-Corruption Code. Our business partners, cooperating with us or acting for or in our behalf, are also obliged to act lawfully and to prevent corruption by following the principles of the Code, included in the Abstract from the Anti-Corruption Code.

Therefore, all our contractors and counterparties should familiarise themselves with the Abstract.

The Anti-Corruption Code and the Abstract, in versions adjusted to local law requirements, apply also to the Representative Offices of the Polpharma Pharmaceutical Works.

Selected principles of the Anti-Corruption Code:

  • We always comply with the law as a matter of priority.
  • We are bound by the ‘No tolerance for corruption’ principle.
  • We do not offer or give gifts or benefits of any kind to public officials.
  • We do not accept any gifts that could compromise the image of Polpharma or influence our business decisions.
  • We avoid conflicts of interest and in case they arise, we immediately report them to the Compliance Officer.
  • We always react when we witness behaviour contrary to Polpharma’s ethical and anti-corruption principles and applicable laws.

INSTITUTIONAL SUPPORT

As part of the institutional solutions, we have appointed the position of Compliance Officer at Polpharma.

The role of the Compliance Officer is to supervise the proper functioning of the Ethics Programme, to comply with the provisions of the Code of Ethics (receiving and investigating reports regarding violations of ethical principles), as well as to provide employees with advice on ethically challenging matters.

The Compliance Officer also supervises all activities defined in the Polpharma Global Compliance Policy. The policy is a set of 10 principles that show how to achieve business goals in accordance with the law and the company’s values. This policy represents a comprehensive approach to managing the risk of abuse and sets standards for subsidiaries and our business partners in international markets.

VIOLATION REPORTING SYSTEM

The violation reporting system consists of tools and communication channels that provide employees with the opportunity to report violations of the principles adopted in the Code of Ethics and Global Compliance Policy.
